Transformation by division (split into two companies) of a company listed on the Bulgarian Stock Exchange. This is the first such transformation of a Bulgarian listed company. Such a division is subject to more complex rules than the division of an unlisted company, in particular - an approval procedure before the Bulgarian Financial Supervision Commission. Our team has advised the company and its shareholders on the legal aspects of the entire transaction, led by Central Cooperative Bank and UniCredit Bulbank – Sofia.

The reorganization through “carving” of Alfa Finance Holding related to its solar business: as a result of the reorganization of the activities of Alfa Finance Holding and its subsidiary Kaolin AD (“Kaolin”), the solar business of the group, previously carried out by the listed company Kaolin, was separated into a separate unit – the newly established Solarpro Holding AD, an indirect subsidiary of Kaolin. Kaolin shareholders were given the option to exchange part of their shares in Kaolin for shares in the new solar company, also a registered company. This transaction is the first of its kind in Bulgaria. Our team acts as legal advisor to Kaolin, which was the company responsible for the transaction within the group.

Sale of a 49.99% stake in Bulgarian-American Credit Bank AD (“BACB”), a company listed on the Bulgarian Stock Exchange, by the majority shareholder Bulgarian-American Enterprise Fund (“BAEF”) of Allied Irish Banks. BACB is a specialized provider of secured financing for small and medium-sized enterprises in Bulgaria. BAEF is a private U.S. corporation established in 1991 pursuant to legislation enacted by the U.S. Congress to promote active participation in the development and expansion of the economy in Bulgaria. Our team acted as advisor to BAEF and its international advisor Kirkland & Ellis, Chicago.

Advised a Luxembourg-based private equity fund on the acquisition of a large minority stake in Telelink Business Services Group (a complex transaction for a private equity fund to invest in a publicly traded company – the first of its kind in Bulgaria). Listed on the Bulgarian Stock Exchange, Telelink (TBS) is a leading business services company in Southeastern Europe. Founded in 2001 by Lyubomir Minchev and headquartered in Sofia, Bulgaria, TBS has established itself as a leading systems integrator in the region, focused on digital transformation, infrastructure integration and management, information security and the Internet of Things (IoT). The transaction combines for the first time a traditional private equity investment with a stock exchange sale, while maintaining the typical legal structure and shareholder agreements required by private investors.
